Terms of Service

Last updated: September 29, 2026

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SIGNUM, including the DICTA and VOX features, our mobile applications, and related services (collectively, the "Services"), provided by Torquetta LLC, a Maryland limited liability company ("Company," "we," "us," or "our"). By creating an account or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

2. Pilot / Beta Status

SIGNUM is currently offered as a pilot program. Features, pricing, and availability may change substantially, without notice, as the Services develop. The Services are provided for evaluation and real-world use, but you should expect rough edges, incomplete features, and the possibility that we discontinue or materially change any feature (including Services you are actively using) at any time.

3. Eligibility

You must be at least 13 years old to use the Services. If you are between 13 and 17 years old, you represent that a parent or legal guardian (or, if you are using the Services through a school, club, or athletic program, your coach or program administrator, acting with your parent or guardian's knowledge) has given you permission to use the Services and to agree to these Terms - including the arbitration provision in Section 23 - on your behalf. We do not independently verify this permission beyond the date of birth you provide at sign-up. See our Note for Parents and Guardians for what we collect from a younger athlete and how a parent or guardian can reach us.

We strongly encourage anyone under 18 to use the Services only with the involvement of a parent, legal guardian, or their coach/athletic program, particularly around subscription billing - see Section 8.

By using the Services, you represent that you meet the applicable age requirement above and that you (directly, or through a parent/guardian's permission if you are a minor) have the legal capacity to enter into these Terms.

4. Not Medical Advice, Not a Substitute for a Coach or Trainer

SIGNUM is a training log and coaching-support tool. It is not a medical device, and nothing in the Services - including AI-generated insights, readiness assessments, injury-risk flags, or coaching recommendations - constitutes medical advice, diagnosis, or treatment. SIGNUM also does not replace the judgment of a qualified coach, personal trainer, physician, or physical therapist. Always consult one of these professionals before beginning a new training program, changing an existing one, or if you have an existing injury, medical condition, or are experiencing pain. You are solely responsible for your own training decisions and physical safety. See our Medical Disclaimer for the full statement, including what to do in a medical emergency - also available in-app under Account → Legal.

5. AI-Generated Content May Be Inaccurate

Some features are generated with the assistance of third-party AI models: Anthropic's Claude (via Amazon Bedrock) for workout extraction from typed, voice, or photographed logs, coaching insights, and readiness/risk analysis; Amazon Nova Sonic for real-time voice conversation; and Amazon Nova Pro for voice-session transcription and voice coaching advice. AI-generated content may be incomplete, inaccurate, or fail to reflect what you actually did or intended. You use these AI-generated features at your own risk. Review anything the Services extract or generate on your behalf before relying on it, particularly sets, reps, and weights used for volume or progress calculations.

6. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate information when creating an account and keep it up to date.
  • You may delete your account at any time from within the app (Account → Danger zone → Delete account). If you own a gym on the platform, you must first remove or transfer it by contacting support@torquetta.com - there is currently no self-service way to delete or transfer a gym in the app.
  • We may suspend or terminate an account that violates these Terms, is used fraudulently, or poses a security risk to the Services or other users.

7. Coaches, Clients, and Gyms

The Services let an athlete link with a coach (and a coach with a gym) so that agreed-upon data - workouts, notes marked "shared," and derived analytics - is visible to the other party. You control these links: a coach/client relationship or gym-coach membership must be approved before it takes effect, and either side can end it at any time. A gym's own coaches and staff see a narrower, aggregated view of gym-wide athletes (risk/trend indicators and names only, never raw notes or injury history) than a direct 1:1 approved coach sees about their own client - see our Privacy Policy for the exact breakdown. You are responsible for only sharing data you're comfortable with the other party seeing, and for understanding that revoking a link does not retroactively un-share anything the other party already viewed or saved outside the Services.

8. Subscriptions and Billing

  • Certain features may require a paid subscription. Prices, billing frequency, and included features will be presented to you before you subscribe.
  • Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
  • If you subscribe to Solo through the iOS app, payment is processed by Apple as an In-App Purchase, governed by your Apple ID's own payment method and Apple's App Store terms; we never see or store your payment card details. Manage or cancel from your device's Settings app (Apple ID → Subscriptions) or from the Account tab, which deep-links there directly.
  • If you subscribe through our website, or to a Team or Enterprise plan, payment is processed by Stripe; we do not store your payment card details. Manage or cancel from the Account tab, which opens Stripe's hosted billing portal.
  • Except where required by law, fees already charged are non-refundable.
  • During an active gym pilot, no fees apply to pilot participants unless that gym's own pilot agreement states otherwise.
  • If you are under 18, a parent, legal guardian, or your coach/athletic program should be the one entering payment information and agreeing to a subscription on your behalf - a minor's own agreement to a paid subscription may not be enforceable in every state.

9. Acceptable Use

You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to another user's account or data; reverse-engineer, scrape, or overload the Services' infrastructure; impersonate a coach, gym, or another athlete; or upload content you don't have the right to share (e.g., someone else's photographed training log without permission).

10. Reporting Violations and Copyright Complaints

If you believe another user has violated Section 9 (for example, by uploading content - like a photographed training log - that belongs to someone else), or if you believe content on the Services infringes your copyright, contact support@torquetta.com with a description of the content and where it appears in the Services, your contact information, and - for a copyright complaint specifically - a statement that you have a good-faith belief the use is unauthorized, and a statement made under penalty of perjury that you're the copyright owner or authorized to act on their behalf. We'll review reports and may remove content, suspend accounts, or take other action we consider appropriate.

11. Your Content

You retain ownership of the workout logs, notes, voice recordings, and photos you submit ("Your Content"). By submitting Your Content, you grant us a license to store, process, and display it back to you (and to anyone you've approved to see it, per Section 7) as necessary to operate the Services, including sending it to the third-party AI providers named in Section 5, as described in our Privacy Policy.

12. Intellectual Property

The Services, including their design, branding, and underlying software, are owned by Torquetta LLC and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or brand assets.

13. Third-Party Services

The Services rely on third-party infrastructure and AI providers - AWS (including Amazon Bedrock, Cognito, and SES), Anthropic, and Stripe - as described in our Privacy Policy. We are not responsible for outages, errors, or changes in those third-party services, though we'll make reasonable efforts to maintain availability of the Services.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any AI-generated content will be accurate.

15. Limitation of Liability

To the maximum extent permitted by law, Torquetta LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Services - including any injury resulting from a training decision made using the Services. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid us in the twelve months before the claim arose, or $100 if you have not made any payments.

16. Indemnification

You agree to indemnify and hold Torquetta LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, Your Content, or your violation of these Terms.

17. Termination; We May Change or Discontinue the Services

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms. We may also modify, suspend, or discontinue any part of the Services, including during the pilot, at any time and without liability to you, consistent with Section 2. Sections that by their nature should survive termination (including Sections 4, 5, 11, 14, 15, and 16) will survive.

18. Accessibility

We want SIGNUM to be usable by as many people as possible and welcome feedback on accessibility barriers you encounter - contact support@torquetta.com. We do not currently claim conformance with any specific accessibility standard (such as WCAG).

19. Force Majeure

We won't be liable for any failure or delay in providing the Services caused by circumstances beyond our reasonable control, including outages of AWS, Stripe, or other third-party services we depend on, natural disasters, internet or infrastructure failures, or other events we couldn't reasonably have prevented.

20. Notices

We may give you notice by email to the address on your account, or by posting in the Services. You may give us notice at support@torquetta.com. Notice is considered given when sent, unless we know it didn't reach you.

21. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, notify you by email. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

22. Governing Law

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws principles. Subject to Section 23 (Dispute Resolution), any dispute not resolved through arbitration will be brought exclusively in the state or federal courts located in Frederick County, Maryland, and you consent to personal jurisdiction and venue there.

23. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate. You and Torquetta LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (a "Dispute") will be resolved through binding individual arbitration, rather than in court, except as set out below.

Informal Resolution First. Before either party files an arbitration demand or a small claims action, that party must send the other written notice of the Dispute (per Section 20's notice mechanics) describing the claim and the relief sought, and both parties must attempt in good faith to resolve it informally for at least 60 days. Neither party may commence arbitration or a small claims action until that 60-day period has passed without resolution.

Exceptions. Either party may bring an individual action in small claims court if it qualifies, subject to the informal-resolution step above. Either party may also seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, without first pursuing arbitration or informal resolution.

Who Decides What (Delegation). Except for the enforceability and scope of the Class Action Waiver below - which only a court may decide - the arbitrator, not any court, decides all disputes about the interpretation, applicability, enforceability, or formation of this Section 23, including whether a particular Dispute is subject to arbitration.

Class Action Waiver. Any arbitration will be conducted only on an individual basis, not as a class, consolidated, or representative action. The arbitrator has no authority to combine more than one person's claims or to preside over any form of a class or representative proceeding. If a court finds this Class Action Waiver unenforceable as to a particular Dispute, that Dispute (and only that one) will proceed in court rather than in arbitration; the rest of this Section 23 still applies to all other Disputes.

Batch Arbitration. If 25 or more similar arbitration demands against Torquetta LLC are filed by, or with the coordinated assistance of, the same law firm or group of firms within a short period, the parties agree these demands will be administered as a batch under the arbitration provider's mass or batch arbitration procedures then in effect (or, if none exist, in reasonably sized batches by agreement or arbitrator order), with fees allocated under those procedures rather than as if each were a fully separate case. This does not make any Dispute a class or representative action - it only governs how a large number of individual filings are administered and billed.

Arbitration Provider and Rules. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, including any AAA mass-arbitration supplementary procedures then in effect.

Your Right to Opt Out. You may opt out of this entire Section 23 by sending written notice to support@torquetta.com, with the subject line "Arbitration Opt-Out," within 30 days of the date you first agree to these Terms (for example, by creating your account). Your notice must include your name and the email address on your account. If you opt out, neither party is required to arbitrate Disputes with each other, and Section 22's court-based venue applies instead - opting out does not affect any other part of these Terms.

Costs. Each party bears its own attorneys' fees and costs, except as the arbitrator's rules, the Batch Arbitration procedures above, or applicable law otherwise require or allow.

If This Whole Section Is Found Unenforceable. If a court finds the entire agreement to arbitrate in this Section 23 unenforceable - not just the Class Action Waiver, which is addressed separately above - the Dispute will be resolved in court under Section 22, not dismissed.

24. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be interpreted to reflect the parties' original intent as closely as possible.

25. Entire Agreement; No Waiver

These Terms, together with the Privacy Policy and (for gym pilot participants) the applicable Gym Pilot Agreement, are the entire agreement between you and Torquetta LLC regarding the Services, and supersede any prior agreements on the same subject. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

26. Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law, without your consent.
